Mitochondria are involved in aerobic cellular respiration.
Fermentation is part of the process of cellular respiration. In the presence of oxygen, further processing of the fermentation products will occur in the mitochondria, yielding more ATP.
Without oxygen - fermentation occurs, and there's no further processing in the mitochondria
